Terms of Use

Introduction

This website at astrid.legal (the "Site") is owned and operated by Astrid Labs, Inc. ("Astrid," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and browsing of the Site.

These Terms do not govern your use of the Astrid product itself (the meeting-capture and matter-management software). If your firm subscribes to the Astrid product, that use is governed by our End User License Agreement and any separate order form or agreement between Astrid and your firm.

Agreement to these terms

By accessing or browsing the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Using the Astrid product

If you would like to use the Astrid product, you or your firm will be asked to enter into a separate agreement: our End User License Agreement, together with any order form your firm signs. That separate agreement, not these Terms, governs your actual use of the product.

Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on the Site and update the "Last updated" date above. Your continued use of the Site after we post an update means you accept the updated Terms.

Our content

The Site and everything on it (text, graphics, layout, and design) is owned by Astrid or our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable license to view the Site for your own informational purposes. You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from the Site or its content, or use it for any commercial purpose, without our prior written permission.

Feedback

If you send us feedback, suggestions, or ideas about the Site or our product, you agree that we may use them freely, without any obligation to compensate you or keep them confidential.

Privacy

Please review our Privacy Policy to understand how we collect and use information through the Site. It is incorporated into these Terms by reference.

How we handle a firm's data

This section applies where a law firm uses Astrid to capture, transcribe, and file its client calls. It sets out the obligations we take on for the firm's data, so that the service-provider role described in our Privacy Policy is a contractual commitment and not only a description.

Roles. The firm determines the purposes and means of processing its client call recordings, transcripts, notes, and matter data. Astrid processes that data only to provide the Service to the firm. Astrid is the firm's service provider or processor for that data and is not an independent controller of it. Where the California Consumer Privacy Act applies, Astrid is a "service provider" as that term is defined in that statute.

Limits on our use. Astrid will not retain, use, or disclose a firm's data for any purpose other than providing the Service, will not sell or share it, will not use it for cross-context behavioural advertising, and will not combine it with data from other sources except as permitted for a service provider. Astrid will not use a firm's data to train or improve any machine learning model for Astrid's own benefit or any other customer's, and requires the same of the providers described in our Security Policy.

Confidentiality. Astrid treats a firm's data as confidential and limits access to personnel who need it to operate or support the Service.

Security. Astrid maintains the technical and organisational measures described in our Security Policy, which is incorporated into these Terms by reference. That page states both what those measures are and where they are absent, and we will notify a firm before making a change that materially weakens them.

Subprocessors. Astrid engages the third parties listed at Subprocessors to help provide the Service, requires each to protect the data consistently with these Terms, and remains responsible to the firm for their performance. That page is kept current, and a firm may ask us to notify it of changes.

Incidents. If Astrid confirms a security incident affecting a firm's data, Astrid will notify that firm without undue delay and provide the information reasonably available to it.

Assistance, deletion, and return. Astrid will provide reasonable assistance with a firm's obligations to respond to requests from individuals about their data. A firm may export its records at any time, and may request deletion of specific content or of its account, subject to any retention either party must maintain by law or professional obligation. On termination, Astrid will delete or return the firm's data on request.

Instructions. Astrid processes a firm's data in accordance with these Terms and the firm's use of the Service. A firm may request a separate data processing agreement; absent one, this section governs.

Third-party links

The Site may link to third-party websites we do not control. We are not responsible for the content, accuracy, or practices of any linked site, and including a link does not imply our endorsement.

Indemnification

You agree to defend, indemnify, and hold harmless Astrid and our officers, directors, employees, and agents from any claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

This limitation applies only to your use of this public website. It does not apply to, and does not limit, the separate liability terms in our End User License Agreement, which governs the Astrid product itself.

Dispute resolution

If you have a dispute with us relating to the Site, please contact us first at jason@astrid.legal so we can try to resolve it informally. If we cannot resolve a dispute informally within 30 days, it will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, on an individual basis only (no class or representative actions), with the arbitration seated in the State of Delaware. Either party may instead bring an individual claim in small claims court where available.

General provisions

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Astrid regarding the Site. Our failure to enforce a provision is not a waiver of our right to do so later.
