Introduction

This website at astrid.legal (the "Site") is owned and operated by Astrid Labs, Inc. ("Astrid," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and browsing of the Site.

These Terms do not govern your use of the Astrid product itself (the meeting-capture and matter-management software). If your firm subscribes to the Astrid product, that use is governed by our End User License Agreement and any separate order form or agreement between Astrid and your firm.

Agreement to these terms

By accessing or browsing the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Using the Astrid product

If you would like to use the Astrid product, you or your firm will be asked to enter into a separate agreement: our End User License Agreement, together with any order form your firm signs. That separate agreement, not these Terms, governs your actual use of the product.

Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on the Site and update the "Last updated" date above. Your continued use of the Site after we post an update means you accept the updated Terms.

Our content

The Site and everything on it (text, graphics, layout, and design) is owned by Astrid or our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable license to view the Site for your own informational purposes. You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from the Site or its content, or use it for any commercial purpose, without our prior written permission.

Feedback

If you send us feedback, suggestions, or ideas about the Site or our product, you agree that we may use them freely, without any obligation to compensate you or keep them confidential.

Privacy

Please review our Privacy Policy to understand how we collect and use information through the Site. It is incorporated into these Terms by reference.

Third-party links

The Site may link to third-party websites we do not control. We are not responsible for the content, accuracy, or practices of any linked site, and including a link does not imply our endorsement.

Indemnification

You agree to defend, indemnify, and hold harmless Astrid and our officers, directors, employees, and agents from any claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

This limitation applies only to your use of this public website. It does not apply to, and does not limit, the separate liability terms in our End User License Agreement, which governs the Astrid product itself.

Dispute resolution

If you have a dispute with us relating to the Site, please contact us first at jason@astrid.legal so we can try to resolve it informally. If we cannot resolve a dispute informally within 30 days, it will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, on an individual basis only (no class or representative actions), with the arbitration seated in the State of Delaware. Either party may instead bring an individual claim in small claims court where available.

General provisions

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Astrid regarding the Site. Our failure to enforce a provision is not a waiver of our right to do so later.
